Terms of Sale

These terms set out how General Wholesale quotes, sells and delivers home appliances to business customers in Ontario, and how this website may be used. Please read them before requesting a quote or placing an order.

These Terms may be updated from time to time. The version posted on this page at the time we issue an order confirmation applies to that order.

  • Payment is due before goods are released, unless you hold an approved trade account with net terms.
  • Inspect on receipt, note any damage on the delivery documents, and report concealed damage or dead-on-arrival units within 48 hours with photos.
  • Products carry the manufacturer's Canadian warranty. General Wholesale provides no additional warranty.

1. Scope and acceptance

These Terms of Sale (the "Terms") apply to every quote issued, order confirmed and product supplied by 17656866 Canada Corp., operating as General Wholesale ("General Wholesale", "we", "us" or "our"), to a business, organization or trade customer ("you" or the "Buyer"). We sell on a business-to-business basis, primarily to customers located in Ontario, Canada. We do not sell to consumers through this website.

Our online catalogue is provided for information and for building a quote list. Adding products to your quote list and submitting a quote request does not create a purchase. There is no online purchasing, checkout or payment on this site.

By requesting a quote, accepting a quote or taking delivery of goods, you agree to these Terms. If a written agreement signed by General Wholesale (for example, approved trade account terms) conflicts with these Terms, the written agreement governs to the extent of the conflict. Terms printed on your purchase order or other documents that differ from these Terms do not apply unless we accept them in writing.

We may revise these Terms from time to time by posting an updated version on this page. The version in effect on the date we issue your order confirmation applies to that order.

2. Quotes and orders

Quote requests are reviewed by our team and answered by email, typically within one business day. Quotes are non-binding on either party until we confirm your order in writing.

  • Validity. Unless a quote states otherwise, it is valid for 30 days from the date it is issued. Quoted availability, lead times and product specifications may change before an order is confirmed and are not guaranteed until confirmation.
  • Order confirmation. An order is confirmed when General Wholesale issues an order confirmation by email. The confirmation lists the products, model numbers, quantities, fulfilment method and payment terms that apply. Please review it promptly and tell us about any discrepancy before the order is released.
  • Acceptance. We may decline or limit any order at our discretion, including where stock is unavailable, where an account is on hold, or where we cannot verify a business purpose. Any minimum quantities, case-pack requirements and lead times are set out on the quote.
  • Changes and cancellations. Once confirmed, an order may be changed or cancelled only with our written agreement. Orders for special-order or non-stocked products cannot be cancelled once we have placed them with the manufacturer or supplier.

3. Pricing and taxes

All pricing is provided by quote and is specific to the products, quantities, delivery location and timing quoted. Pricing shown or implied anywhere else, including in third-party listings or earlier quotes, does not apply.

  • Unless a quote states otherwise, prices exclude the Harmonized Sales Tax (HST) and any other applicable federal, provincial or municipal taxes, levies and environmental handling fees, which are added at the applicable rate at the time of invoicing.
  • Delivery, freight, liftgate and other handling charges are not included in product pricing and are quoted separately based on the delivery address and access conditions.
  • Pricing on a confirmed order is fixed for that order. Pricing for future orders may change with manufacturer costs, freight and currency conditions.

4. Payment

  • Accepted methods. We accept Interac e-Transfer, electronic funds transfer (EFT), bank draft and certified cheque. Payment instructions are provided on your order confirmation or invoice. We do not collect payment details through this website.
  • Payment before release. Unless you hold an approved trade account with net terms, payment in full is due before goods are released for pickup or delivery.
  • Net terms. Net payment terms are available only to approved trade accounts, are subject to review, and may be limited to a credit limit we set. You can apply through our Wholesale Program page. We may withdraw or adjust terms on notice.
  • Overdue accounts. Invoices are due on the date stated on the invoice. Overdue accounts may be placed on hold, in which case new orders will not be released until the account is brought current. To the extent permitted by law, we may charge interest on overdue amounts at the rate stated on the invoice and may require prepayment for future orders.
  • Title. Title to the goods remains with General Wholesale until payment in full has been received, even though risk of loss passes to you as described in section 5.

5. Delivery, pickup and risk of loss

  • Fulfilment. Orders are fulfilled by pickup from our Ontario warehouse or by scheduled delivery, as stated on the order confirmation. Pickup appointments and delivery windows are arranged by email once payment, or approved terms, are in place.
  • Delivery point. Delivery is to curbside, loading dock or ground-floor entrance at the delivery address unless otherwise agreed in writing. Inside delivery, stair carries, unpacking, installation, connection and removal of old appliances are not included unless they are specifically quoted.
  • Site access. You are responsible for providing safe and lawful access for a delivery vehicle, an authorized person to receive and sign for the goods, and any building arrangements required (elevator bookings, loading-dock reservations, security clearance). If a delivery cannot be completed for reasons within your control, including a missed appointment, restricted access or no one available to receive, a rescheduling or redelivery charge and storage charges may apply.
  • Timing. Delivery dates and lead times are estimates given in good faith based on manufacturer and carrier information and are not guaranteed. We are not responsible for delays caused by manufacturers, carriers, weather or other events beyond our reasonable control.
  • Risk of loss. Risk of loss or damage to the goods passes to you when the goods are delivered to the delivery point or, for pickup orders, when the goods are loaded onto your vehicle at our warehouse. Please ensure your vehicle is suitable and that appliances are properly secured for transport. Any loading assistance is provided as a courtesy.
  • Pickup. The person collecting an order should bring a copy of the order confirmation and be named as the pickup contact, or be authorized in writing by the Buyer.

6. Inspection, damage and dead-on-arrival units

  • Inspect on receipt. Inspect all cartons and, where practical, their contents at the time of delivery or pickup, before signing.
  • Note damage on delivery documents. Record any visible carton damage, shortage or discrepancy on the delivery documents or the carrier's proof of delivery before signing. Signing without notation may limit our ability to claim against the carrier and may affect how a claim is resolved.
  • Report within 48 hours. Report concealed damage, missing items or units that do not power on (dead on arrival) to us by email within 48 hours of delivery or pickup. Include photographs of the carton, the product, the model and serial label and the damage. Keep all packaging until the claim is resolved.
  • Resolution. On a valid claim, we coordinate a replacement unit, repair through the manufacturer, or a credit, at our reasonable discretion and subject to availability. Claims reported after 48 hours, or after installation, may be limited to coverage available under the manufacturer's warranty.

7. Warranty

Products supplied by General Wholesale carry the manufacturer's Canadian limited warranty applicable to the model, as described in the manufacturer's documentation. Warranty durations and coverage vary by brand and model, and some manufacturer warranties differ or are limited for commercial, rental or institutional use. Please review the manufacturer's terms before ordering.

  • General Wholesale is a distributor. To the extent permitted by law, we provide no additional warranty, express or implied, beyond the manufacturer's warranty, including any implied warranty of merchantability or fitness for a particular purpose.
  • Warranty service is provided through the manufacturer's authorized service channels, not by General Wholesale. We assist by supplying proof of purchase, model and serial numbers and delivery dates, and by directing you to the correct manufacturer contact.
  • Where a manufacturer offers warranty registration, completing it is your responsibility.

8. Returns

Because we sell at wholesale, returns are limited.

  • Unopened items. New, unopened, factory-sealed items in resaleable condition may be returned within the return window stated on your order confirmation, subject to our prior written approval (a return authorization) and to a restocking charge where applicable. Return freight is your responsibility unless the return results from our error.
  • Non-returnable items. Items that have been opened, installed or used, that were damaged after risk passed to you, or that are missing packaging or accessories are not returnable except as provided in section 6 or under the manufacturer's warranty.
  • Final sale. Special-order items, non-stocked items ordered on your behalf, and any items identified as final sale on the quote cannot be returned or cancelled.
  • Credits. Approved credits are applied to your account or refunded to the original payment method after the returned goods are received and inspected.

9. Product information

  • Specifications, dimensions, features, capacities, energy ratings and images in our catalogue are drawn from manufacturer information and are provided for general guidance. Manufacturers may change specifications, finishes and packaging without notice.
  • Images are illustrative and may not reflect the exact colour, finish, handle configuration or accessories of the unit supplied. Please confirm critical dimensions, electrical requirements (voltage, amperage and plug type), venting and clearances against the manufacturer's installation documentation before ordering.
  • We work to keep the catalogue current, but errors can occur. If a listing contains an error we will tell you before confirming your order, and you may cancel the affected items without penalty.
  • Suitability of a product for a particular installation, use or code requirement is your responsibility. We recommend consulting a licensed installer or contractor where required.

10. Limitation of liability

  • To the maximum extent permitted by applicable law, General Wholesale's total liability for any claim arising from a quote, an order or a product supplied is limited to the amount you paid to us for the affected products.
  • We are not liable for indirect, incidental, special or consequential losses, including lost profits, lost rental income, project delays, installation or removal costs, or damage caused by improper installation, use or maintenance, or by events beyond our reasonable control.
  • You are responsible for ensuring that products are installed by qualified persons in accordance with the manufacturer's instructions and applicable codes.
  • Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law.

11. Website use and intellectual property

  • Permitted use. This website is provided for businesses to browse our catalogue, build a quote list and request quotes. You agree not to misuse the site, submit false or misleading information, interfere with its operation, or copy or extract catalogue data by automated means.
  • Our content. The text, layout, logo and brand mark, and the selection and arrangement of the catalogue belong to General Wholesale and may not be reproduced without our written permission. You may print or save pages for your own purchasing records.
  • Third-party marks. Product names, brand names, logos and trademarks appearing in the catalogue belong to their respective owners. Their appearance identifies the products we distribute and does not imply endorsement of, or affiliation with, General Wholesale.
  • Quote list and personal information. Your quote list is stored in your own browser and is sent to us only when you submit a request. Personal information you submit is handled in accordance with our Privacy Policy.
  • Availability. The site is provided as is. We do not guarantee uninterrupted availability or that content is free of errors, and we may change or withdraw content at any time. Links to manufacturer or other third-party sites are provided for convenience only.

12. Governing law

  • These Terms and every quote and order are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
  • The parties will first attempt to resolve any dispute in good faith by discussion. Failing that, the courts of Ontario have exclusive jurisdiction.
  • If any provision of these Terms is found to be unenforceable, the remaining provisions continue in effect. Headings are for convenience only.
